تُعدّ الشركات أحد أهم ركائز الاقتصاد، التي تسهم بشكل كبير في تنوع مصادر الدخل؛ فتعمل بعض الدول ومنها سلطنة عمان على الدخول في شراكات مع القطاع الخاص حيث تتملك الحكومة حصصا في بعض الشركات، ومن اجل ضبط اليات الرقابة والعمل في هذا النوع من الشركات أصدرت السلطنة متمثلة في الهيئة العامة لسوق المال – والتي تغير مسماها لتصبح هيئة الخدمات المالية- قرار رقم 123/2021، بإصدار مبادئ حوكمة الشركات التي تمتلك الحكومة حصصا فيها، وقد قسمت الدراسة الى مبحثين يتناول الأول تطبيق مبدا الإفصاح والشفافية، في حين تناول المبحث الثاني الرقابة على اعمال مجلس الإدارة.
وقد خلُصت الدراسة الى نتائج عديدة من أبرزها: أن الشركات التي تمتلك الحكومة فيها حصصا تطبق أعلى معاير الحوكمة المستمدة من القوانين الدولية، الا أنه يوجد إشكالية في تحديد واجبات مجلس الادارة، وتوصي الدراسة بضرورة إدراج نص قانوني صريح في قانون الشركات العماني يحدد على وجه الدقة واجبات أعضاء مجلس الإدارة، وعلى رأسها واجب الأمانة، وتبنّي معيار رجل الأعمال الحريص في العناية المبذولة من قبل أعضاء مجلس الإدارة.

Abstract:
Companies are among the most important pillars of the economy, contributing significantly to diversifying income sources. Some countries, including the Sultanate of Oman, enter into partnerships with the private sector, where the government holds shares in certain companies. To regulate oversight and operations in these types of companies, the Sultanate, represented by the Capital Market Authority (now the Financial Services Authority), issued Decision No. 123/2021, promulgating the principles of corporate governance for companies in which the government holds shares. This study is divided into two sections: the first addresses the application of the principles of disclosure and transparency, while the second examines oversight of the board of directors’ actions.
The study concluded with several key findings, most notably that companies in which the government holds shares apply the highest governance standards derived from international laws. However, a problem exists in defining the duties of the board of directors. The study recommends the inclusion of an explicit legal provision in the Omani Companies Law that precisely defines the duties of board members, foremost among them the duty of integrity, and adopting the standard of prudent business practice in the care exercised by board members.
